PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS SOFTWARE.

By purchasing, installing, or using DesignToolBox, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the Software.

TRADEMARK NOTICE: Autodesk and 3ds Max are registered trademarks or trademarks of Autodesk, Inc., and/or its subsidiaries and/or affiliates in the USA and/or other countries. DesignToolBox is an independent third-party plugin and is not affiliated with, endorsed by, or sponsored by Autodesk, Inc.


1. Definitions

1.1 “Software” refers to DesignToolBox for Autodesk 3ds Max, including all plugins, scripts, files, and documentation.

1.2 “License Management System” or “LMS” refers to the integrated online license validation and management functionality built into the Software.

1.3 “Developer” or “We” refers to Atelier Bump, the provider of the Software.

1.4 “User” or “You” refers to any individual or entity using the Software.

1.5 “License Key” refers to the unique alphanumeric code provided to activate the Software.

1.6 “Account” refers to your registered account used to manage your licenses through the LMS.

1.7 “EULA” refers to the End User License Agreement that governs your right to use the Software.


2. Scope and Relationship to EULA

2.1 These Terms govern:

  • Purchase and delivery of licenses through Gumroad
  • Account registration and management through the LMS
  • License activation, validation, and usage tracking
  • Your use of the integrated License Management System
  • Service availability and support

2.2 The EULA governs your right to install and use the Software itself, including copyright restrictions, warranties, and liability limitations.

2.3 These Terms and the EULA work together. In case of conflict, the EULA takes precedence regarding Software usage rights, and these Terms take precedence regarding license management and service-related matters.


3. Purchase and Delivery

3.1 Third-Party Sales Platform

Software licenses are sold exclusively through Gumroad. By purchasing through Gumroad, you agree to Gumroad’s terms of service in addition to these Terms and the EULA.

3.2 License Delivery

After completing your purchase through Gumroad, you will receive a License Key via email. This License Key must be registered and activated through the Software’s integrated License Management System before you can use the Software.

3.3 Account Registration

To activate your License Key, you must create an account by providing accurate and complete information, including:

  • Valid email address
  • Name (individual or organization)
  • License Key received from Gumroad

You are responsible for maintaining the accuracy of your account information and the confidentiality of your account credentials.


4. License Types and Usage

4.1 Personal License

4.1.1 Usage Rights
  • Permits installation on unlimited computers
  • May only be actively used on ONE computer at any given time
  • Intended for individual users working across multiple workstations (e.g., home and office)
4.1.2 Session Management
  • The Software communicates with the LMS to validate your license and manage active sessions
  • When you launch the Software on a new computer, any active session on another computer will be automatically terminated
  • You must ensure the Software is not running simultaneously on multiple computers
  • Properly closing 3ds Max ensures the session is released for use on another computer
4.1.3 Session Recovery
  • If a session appears “stuck” (e.g., due to system crash or forced shutdown), you can manually release it through your online account portal
  • Inactive sessions automatically expire after 2 hours of no activity

4.2 Studio License

4.2.1 Usage Rights
  • Permits installation and simultaneous use on unlimited computers
  • No restrictions on concurrent usage
  • Designed for teams, studios, and organizations
  • May be shared among authorized users within the purchasing organization
4.2.2 Session Tracking
  • The LMS tracks active usage sessions for monitoring and reporting purposes
  • Usage statistics are available through your online account portal
  • The Developer reserves the right to contact you if usage patterns suggest license abuse or unauthorized sharing

4.3 Educational License (if applicable)

  • Restricted to non-commercial use by students or educational institutions
  • May be offered as either Personal or Studio type
  • Subject to verification of educational status
  • Watermarks or limitations may apply

4.4 Offline Usage

  • Personal License: Limited offline usage available for up to 72 hours after last successful validation
  • Studio License: Same 72-hour offline grace period applies per active session
  • The Software must reconnect to the LMS periodically to maintain validation
  • For extended offline requirements (e.g., render farms without internet), contact support for alternative arrangements

4.5 Internet Connection Requirement

  • An active internet connection is required for initial license activation
  • Periodic validation checks require internet connectivity
  • The Software will display warnings when offline grace period is expiring

5. License Restrictions and Prohibited Activities

5.1 Personal License Restrictions

  • You may NOT run the Software on multiple computers simultaneously
  • The LMS will detect and prevent simultaneous sessions
  • Personal Licenses are for individual use only and may not be shared with other users
  • Concurrent use across multiple computers constitutes a license violation and may result in license revocation

5.2 Studio License Restrictions

  • Studio Licenses must be used exclusively within the purchasing organization
  • Sharing License Keys with external parties, freelancers, or contractors not employed by your organization is prohibited
  • Each authorized organization user should have their own account credentials
  • Reselling, renting, or sublicensing Studio Licenses is strictly prohibited

5.3 General Prohibited Activities

You may not:

  • Generate, distribute, or use unauthorized License Keys
  • Share your License Key or account credentials with unauthorized users
  • Attempt to circumvent the License Management System or session validation
  • Use cracked, pirated, or modified versions of the Software
  • Reverse engineer the license validation mechanisms
  • Manipulate or falsify session data or usage tracking
  • Use automated tools to interfere with the LMS
  • Resell or redistribute licenses without explicit written authorization

5.4 License Transfer

  • Personal and Studio Licenses are non-transferable between individuals or organizations
  • License transfers may be permitted only in cases of business acquisition, merger, or documented exceptional circumstances
  • All transfer requests require Developer approval and appropriate documentation
  • Contact support at atelierbump@gmail.com for transfer requests

5.5 Refunds and Cancellations

  • All sales are final
  • Refund requests must be made through Gumroad within 14 days of purchase
  • Refunds are subject to Gumroad’s refund policy
  • The Developer may offer refunds at its sole discretion for exceptional circumstances

6. Account Management

6.1 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately at atelierbump@gmail.com of any unauthorized access or security breach
  • Ensuring that only authorized users within your organization access Studio License accounts

6.2 Account Termination by User

  • You may close your account at any time by contacting support
  • Account closure does not entitle you to a refund
  • Your License Key will be deactivated upon account closure

6.3 Account Suspension or Termination by Developer

We reserve the right to suspend or terminate your account and revoke your license if:

  • You violate these Terms or the EULA
  • You provide false or misleading information
  • We detect fraudulent activity or license abuse
  • You share licenses with unauthorized users
  • You attempt to circumvent the License Management System
  • Your account is inactive for more than 24 months
  • Required by law

6.4 Effects of Termination

Upon account termination:

  • Your right to use the Software ends immediately
  • All active sessions will be terminated
  • Your License Key will be revoked
  • For Studio Licenses, all users within the organization lose access
  • We may delete your account data after a reasonable retention period
  • No refunds will be issued except as required by law

7. License Management System Availability

7.1 Service Uptime

We strive to maintain LMS availability but do not guarantee uninterrupted access. The LMS may be unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Server outages or technical difficulties
  • Force majeure events
  • Third-party service provider outages

7.2 Offline Grace Period

The 72-hour offline grace period ensures you can continue working during temporary LMS unavailability. If you anticipate extended offline work, contact support in advance.

7.3 System Modifications

We reserve the right to:

  • Modify or update the License Management System
  • Change session timeout durations or validation frequency
  • Implement additional security measures
  • Update these Terms (with notice to users)

8. Privacy and Data Collection

8.1 Data Collected by the License Management System

The LMS collects and processes:

  • Account information (name, email, organization name)
  • License Key and purchase verification data
  • Computer identification data (hardware ID, MAC address, computer name)
  • License activation and session data (timestamps, IP addresses, session duration)
  • Software version and 3ds Max version information
  • Basic usage analytics (launch frequency, active sessions)
  • Technical diagnostics (error logs, validation failures)

8.2 Purpose of Data Collection

We collect this data to:

  • Validate license authenticity and prevent unauthorized use
  • Manage active sessions and enforce license restrictions
  • Provide license management services through your account portal
  • Prevent fraud and detect license abuse
  • Provide technical support
  • Improve the Software and LMS
  • Send service-related notifications (license expiration, updates)
  • Comply with legal obligations

8.3 Data Protection and Security

  • We implement industry-standard security measures to protect your data
  • All data transmission between the Software and LMS is encrypted
  • We comply with applicable data protection laws, including GDPR where applicable
  • Your payment information is processed by Gumroad; we do not store credit card data

8.4 Data Retention

  • We retain your data for as long as your account is active or license is valid
  • After account closure or license expiration, data may be retained for up to 12 months for legal and support purposes
  • You may request data deletion by contacting atelierbump@gmail.com
  • Some data may be retained longer as required by law or legitimate business interests

8.5 Your Data Rights

Under GDPR and similar laws, you have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Request data deletion (subject to legal retention requirements)
  • Object to data processing
  • Export your data
  • Withdraw consent (where applicable)

8.6 Third-Party Services

  • Gumroad processes payments and may collect additional information per their privacy policy
  • We are not responsible for third-party privacy practices

8.7 Cookies and Tracking

The online account portal may use cookies for authentication and functionality. No third-party advertising or tracking cookies are used.

9. Intellectual Property

9.1 Software Ownership

The Software and License Management System, including all code, interfaces, content, and technology, are owned by Atelier Bump and protected by copyright, trademark, patent, and other intellectual property laws.

9.2 Third-Party Trademarks

Autodesk, 3ds Max, and other Autodesk product names are trademarks or registered trademarks of Autodesk, Inc. All other trademarks are the property of their respective owners. Use of these trademarks does not imply any affiliation with or endorsement by their respective owners.

9.3 User Data

You retain ownership of any 3ds Max scenes, assets, or content you create using the Software. The Developer claims no ownership over your creative work.

9.4 Feedback and Suggestions

Any feedback, suggestions, bug reports, or ideas you provide may be used by the Developer to improve the Software without compensation or attribution.


10. Warranties and Limitation of Liability

10.1 Software “As Is”

THE SOFTWARE AND LICENSE MANAGEMENT SYSTEM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that:

  • The Software will meet your specific requirements
  • The Software will operate error-free or uninterrupted
  • The LMS will be available at all times
  • All defects or bugs will be corrected
  • The Software is compatible with all systems or configurations

10.3 Limited Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE DEVELOPER SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Corruption of 3ds Max scenes or project files
  • Lost work or productivity
  • Damages from Software errors, crashes, or malfunctions
  • LMS unavailability or validation failures
  • Damages exceeding the amount paid for the Software in the 12 months preceding the claim

10.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you. In such cases, liability is limited to the maximum extent permitted by law.

10.5 User Responsibility

You are responsible for:

  • Maintaining backups of your work
  • Ensuring system compatibility before purchase
  • Testing the Software in your workflow
  • Following proper installation and usage procedures

11. Updates and Support

11.1 Software Updates

  • Updates and bug fixes may be provided at the Developer’s discretion
  • Major version updates may require additional purchase
  • You will be notified of available updates through the Software or email
  • Updates may modify or remove features

11.2 Technical Support

  • Support is provided on a best-effort basis
  • Support requests should be sent to atelierbump@gmail.com
  • Response times are not guaranteed
  • Support may be limited or unavailable for older Software versions

11.3 Documentation

  • User documentation and guides are provided as-is
  • Documentation may not be complete or current for all features

12. Export Compliance

You acknowledge that the Software may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws, including:

  • U.S. Export Administration Regulations
  • EU export control regulations
  • End-user, end-use, and destination restrictions

You may not use or export the Software in violation of applicable laws.


13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.2 Jurisdiction

Any disputes arising from these Terms or the Software shall be resolved in the courts of Tokyo, Japan, and you consent to the personal jurisdiction of such courts.

13.3 Dispute Resolution

Before filing any legal action, you agree to attempt to resolve disputes through good faith negotiation. Contact atelierbump@gmail.com to initiate the resolution process.

13.4 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class actions or collective proceedings.


14. General Provisions

14.1 Entire Agreement

These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between you and the Developer regarding the Software and License Management System.

14.2 Amendments

We may modify these Terms at any time by posting the revised version on our website at https://atelierbump.com. Continued use of the Software after changes constitutes acceptance of the modified Terms. We will notify users of material changes via email or through the Software.

14.3 Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full effect.

14.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.5 Assignment

You may not assign or transfer these Terms, your license, or your account without our written consent. We may assign these Terms without restriction.

14.6 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, pandemics, or internet service failures.

14.7 Language

These Terms are written in English. Any translations are provided for convenience only, and the English version shall prevail in case of discrepancies.

14.8 Notice

All notices to the Developer should be sent to atelierbump@gmail.com. Notices to you will be sent to the email address associated with your account.

16. Acknowledgment

BY PURCHASING, INSTALLING, OR USING DESIGNTOOLBOX, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND THE EULA, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
